Terms & Conditions

This Web Development Services Agreement governs your use of WebT's Custom Digital Solutions, branding, and digital marketing services. Please read it carefully before engaging with us.

1. Acceptance of Terms

Quick summary —By hiring WebT or signing a proposal, you agree to these terms in full.

By accessing our website, signing a proposal, or commissioning any service from WebT (“the Company,” “we,” or “us”), you (“Client” or “you”) agree to be bound by these Terms & Conditions. If you disagree with any part of these terms, please do not engage our services.

2. Scope of Services

Quick summary —We only deliver what is written in the signed Statement of Work (SOW). Anything outside it is a separate engagement.

WebT provides Custom Digital Solutions including, but not limited to: web design and development, brand strategy and identity, and social media management. All deliverables are explicitly defined in a mutually signed Statement of Work (SOW) or project proposal.

Any work not described in the agreed SOW — including new features, additional pages, revised concepts, or expanded strategy — falls outside the contracted scope and will not be delivered unless a formal Change Request is approved (see Section 4).

3. Project Kickoff & Payment

Quick summary —A 50% deposit is required upfront before any work begins. The remaining 50% is due before final delivery.
  • A non-refundable deposit of 50% of the total project fee is required to initiate project kickoff. Work will not commence until this deposit is received and cleared.
  • The remaining 50% balance is due upon project completion and before the final deliverables (source code, design assets, live deployment credentials) are transferred to the Client.
  • For ongoing retainer agreements (e.g., social media management), invoices are issued monthly in advance and are due within 7 calendar days of the invoice date.
  • Overdue payments accrue a late fee of 1.5% per month on the outstanding balance. WebT reserves the right to suspend active work until all outstanding invoices are settled.

4. Change Requests

Quick summary —New features or scope additions are billed separately via a written Change Request — they are never absorbed into the original budget.

Any request for features, functionality, pages, or deliverables not included in the signed SOW constitutes a Change Request (CR). Change Requests will be assessed, quoted, and billed separately from the original project fee.

A Change Request must be submitted in writing and approved by both parties before implementation begins. Verbal agreements do not constitute approval. WebT reserves the right to adjust the project timeline proportionally to accommodate approved Change Requests.

5. Intellectual Property

Quick summary —All work remains the property of WebT until your final invoice is paid in full. Upon full payment, ownership transfers to you.

All source code, design files, creative assets, and deliverables produced under this agreement remain the exclusive intellectual property of WebT until the final invoice is paid in full. Use, reproduction, or distribution of any deliverable prior to full payment is strictly prohibited.

Upon receipt of full payment, WebT grants the Client a perpetual, non-exclusive, royalty-free license — or full ownership where explicitly agreed in writing — over the commissioned deliverables.

WebT retains the right to display completed work in its portfolio and marketing materials unless the Client requests confidentiality in writing at the time of the agreement. Pre-existing tools, frameworks, libraries, or proprietary components used by WebT remain the property of WebT or their respective owners.

6. Client Obligations

Quick summary —Timely feedback and content delivery from your side keeps the project on track. Delays on your end may push back deadlines.
  • Provide all required content, assets, credentials, and feedback within the timeframes specified in the project timeline.
  • Designate a single point of contact authorized to give approvals on behalf of the Client organization.
  • Ensure that any materials provided (text, images, logos) do not infringe on third-party intellectual property rights. WebT assumes no liability for Client-supplied content.
  • Project milestones and delivery dates are contingent on timely Client responses. Delays exceeding 10 business days without communication may result in the project being placed on hold and rescheduled based on WebT's availability.

7. Third-Party Services & Hosting

Quick summary —WebT is not responsible for downtime, data loss, or issues caused by hosting platforms (e.g., Vercel, AWS) or third-party APIs.

WebT frequently integrates third-party platforms, APIs, hosting providers, and SaaS tools to deliver our Web Development Services Agreement scope. These include, but are not limited to, Vercel, AWS, Cloudflare, Stripe, Mapbox, and social media APIs.

WebT shall not be liable for any downtime, data loss, security breaches, API rate-limiting, pricing changes, or service discontinuation caused by third-party providers. The Client acknowledges that the availability and performance of the final product may depend on these external services, which are outside WebT's control.

8. Confidentiality

Quick summary —Both parties agree to keep each other's sensitive business information private.

Both parties agree to treat all non-public information shared during the engagement as confidential. This includes business strategies, financial data, proprietary processes, and technical documentation. Confidential information shall not be disclosed to third parties without prior written consent, except as required by law.

9. Limitation of Liability

Quick summary —WebT's total liability is capped at the amount you paid us for the project. We are not liable for indirect or consequential losses.

To the fullest extent permitted by applicable law, WebT's aggregate liability for any claims arising out of or related to this agreement shall not exceed the total fees paid by the Client for the specific project giving rise to the claim.

WebT shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of revenue, profits, data, or business opportunities, even if WebT has been advised of the possibility of such damages.

10. Termination

Quick summary —Either party may terminate with 14 days' written notice. The initial 50% deposit is non-refundable.

Either party may terminate the agreement with 14 days' written notice. Upon termination, the Client shall pay for all work completed up to the termination date, calculated on a pro-rata basis against the agreed project fee.

The initial 50% deposit is non-refundable in all termination scenarios. Any deliverables produced remain the property of WebT until all outstanding amounts are paid in full.

11. Governing Law

These Terms & Conditions shall be governed by and construed in accordance with the laws of the Kingdom of Morocco. Any disputes arising out of or in connection with these terms shall be subject to the exclusive jurisdiction of the competent courts of Tétouan, Morocco.

12. Changes to These Terms

WebT reserves the right to update these Terms & Conditions at any time. Material changes will be communicated to active clients via email. Continued engagement with our services following notification of changes constitutes acceptance of the revised terms. The “Last Updated” date at the top of this page will always reflect the most recent revision.
